1. Acceptance of Terms

By accessing or using the website wahub.ai, any related websites, and any services, membership programs, events, or resources provided by the Western Australian AI Hub ("WA AI Hub", "we", "us", "our"), you agree to accept these Terms of Service ("Terms") and all applicable laws and regulations.

If you choose not to be bound by these Terms, please discontinue access or use our website or services immediately.

1.1 Eligibility

You must be at least 18 years old and have legal capacity to enter into binding contracts. By using the Services, you represent and warrant that you meet these requirements.

1.2 Organisations and Representatives

If you are using the Services on behalf of a company, organisation, government agency, educational institution, or other entity (an "Organisation"), you represent and warrant that you are authorised to bind that Organisation to these Terms. In that case, "you" and "your" refer to both you as an individual and the Organisation.

2. Our Services and Website Use

2.1 Scope of Services

WA AI Hub provides, among other things:

  • Membership programs and subscription-based services
  • AI training, education and capability-building services
  • Governance and advisory offerings
  • Events, workshops, and community activities
  • Digital platforms, content, directories and other resources for networking and collaboration

The specific features and inclusions of our Services may change from time to time.

2.2 Informational Nature of Content

Any content provided via our website or Services (including articles, resources, directory listings, and event materials) is for general information and education only and does not constitute legal, financial, technical, or professional advice. You should obtain independent advice before relying on any information.

2.3 Lawful and Acceptable Use

You agree to use our website and Services only for lawful purposes and in accordance with these Terms. You must not use the Services in contravention of any applicable law, or in a manner that infringes the rights of any person or entity.

3. Memberships and Subscription Mechanics

3.1 Membership Tiers and Benefits

We offer membership and subscription options for individuals and Organisations (for example, start-ups, SMEs, enterprises, institutions). The current membership tiers, eligibility criteria, benefits, and pricing are described on our website or membership materials and may be updated from time to time.

3.2 Term and Payment Cycle

Unless otherwise specified:

  • Membership is offered on a 12-month subscription basis.
  • Fees are payable annually in advance

3.3 Auto-Renewal

If your membership is designated as automatically renewing, the following applies:

  • Your membership will continue for consecutive 12-month periods (each a "Renewal Term") unless you cancel before the end of the current term.
  • We will send you a reminder notice at least 30 days before your renewal date, including any changes to membership fees that will apply at renewal, so that you have time to decide whether to continue.

If you do not cancel by the renewal date, you authorise us (and our payment provider) to charge your nominated payment method for the renewal fees.

3.4 Cancellation by You

You may cancel your membership at any time by following the process described on our website or by contacting us using the contact details in section 15.

  • Unless we expressly agree otherwise in writing, your membership will remain active until the end of the period you have already paid for, and you will not be charged further once that period ends.
  • Cancelling your membership does not automatically remove your Organisation's or your personal profile from any directory or community feature—please contact us if you wish to have such information removed, subject to any legal retention requirements.

3.5 Suspension or Termination by WA AI Hub

We may suspend or terminate your membership or access to the Services (in whole or in part) with notice if:

  • You fail to pay fees when due;
  • You breach these Terms or any applicable policy or guideline; or
  • We reasonably consider that your conduct may cause harm to us, our members, partners, or the broader community.

In serious cases (for example, fraud, harassment, or unlawful conduct), we may suspend or terminate your access immediately. This does not limit any other rights or remedies we may have.

3.6 Fees, Taxes, and Changes to Pricing

Membership fees and other charges are quoted in Australian Dollars (AUD) and include GST where applicable. You are responsible for any bank fees or charges imposed by your financial institution.

We may update our membership fees from time to time. Fee changes will not apply during your current paid term. Updated fees will apply from your next renewal or new membership. If you are on automatic renewal, we will notify you of any fee change at least 30 days before your renewal date.

3.7 Refunds and Remedies

Membership fees are generally non-refundable once paid. However, nothing in these Terms limits your rights under the Australian Consumer Law.

If we fail to provide the Services with reasonable care and skill, or if we make a major change that significantly reduces your core membership benefits during a paid term, we will work with you in good faith to provide an appropriate remedy consistent with the Australian Consumer Law, which may include a repair, replacement service, credit, or refund, depending on the circumstances.

3.8 Founding Members and Special Arrangements

Where we designate certain members as "Founding Members" or grant specific pricing or benefits as part of a particular initiative, those arrangements are personal to the relevant member or Organisation and may be subject to additional written terms. Such arrangements are not transferable without our prior written consent.

4.1 Consent to Terms and Policies

By creating an account, purchasing a membership, participating in our programs or events, or otherwise using the Services, you consent to:

  • These Terms; and
  • Our Privacy Policy and any other policies or guidelines that are incorporated by reference.

If you do not consent, you must not use the Services.

4.2 Electronic Communications

You agree that we may contact you electronically (for example, via email, in-platform messages, or notifications) about your membership, account, events, and other Services. You can opt out of non-essential marketing communications at any time (for example, by using unsubscribe links), but we may still send you important service or account-related communications.

5. Privacy and Personal Information

5.1 Privacy Policy

We handle personal information in accordance with the Privacy Act 1988 (Cth), the Australian Privacy Principles, and our Privacy Policy, which forms part of these Terms.

Our Privacy Policy explains what personal information we collect, how we use and disclose it, how we protect it, and your rights in relation to your information. Please review it carefully.

5.2 Information We Collect

To operate the Services and manage memberships, we may collect information such as:

  • Contact details for individual users (for example, name, email address, role)
  • Organisation information (for example, name, industry, size, contact information)
  • Payment and billing information (processed via third-party providers)
  • Usage and interaction data relating to our websites, platforms, events, and programs

You must ensure that any information you provide is accurate, up to date, and not misleading. If you provide information about someone else, you confirm that you have their consent or another lawful basis to do so.

5.3 Sharing with Third Parties

We may share personal information with carefully selected service providers (such as payment processors, event platforms, mailing services, and IT support) who assist us in delivering our Services. Those providers are required to handle personal information in line with applicable privacy laws and our instructions.

We do not sell personal information. Any directory or community-facing information about members will be handled consistently with our Privacy Policy and any specific notices provided at the point of collection.

6. Community Spaces, Conduct and Guidelines

6.1 Community and Collaboration Spaces

Our Services may include online or in-person spaces where members and participants can interact, including events, workshops, forums, collaboration platforms, directories, and other networking features. These spaces are provided to support learning, collaboration, and professional connection.

6.2 Behavioural Standards

When participating in any WA AI Hub space (whether online or in-person), you are accountable for all activities conducted through you or through your account or on behalf of your organisation. We expect all participants to uphold the following standards of conduct:

  • Engage with others respectfully and in good faith;
  • Refrain from harassment, intimidation, or abusive conduct toward any person;
  • Avoid discriminatory behaviour or speech on any basis, including race, sex, sexual orientation, or gender identity;
  • Ensure all statements made are accurate and not misleading or defamatory;
  • Exercise discretion with private, confidential, or sensitive information belonging to yourself or others;
  • Seek written permission before promoting products, services, or political campaigns within our spaces.

6.3 Community Guidelines and Related Policies

We may publish Community Guidelines, event codes of conduct, or other policies that apply to specific spaces, platforms, or programs. These guidelines and policies are incorporated into these Terms by reference and may be updated from time to time to reflect best practice and community expectations.

Where there is any inconsistency, the more specific guideline or policy for a particular space will generally prevail to the extent of the inconsistency.

6.4 Moderation and Consequences

We may moderate community spaces to maintain a safe and constructive environment. If we reasonably believe you have breached these Terms or any guideline or policy, we may:

  • Remove or edit your content
  • Issue a warning
  • Restrict your ability to participate in certain spaces or events
  • Suspend or terminate your membership or access to the Services
  • Report serious concerns (for example, threats or unlawful conduct) to appropriate authorities

The steps we take will depend on the nature and seriousness of the issue.

7. Directories, Corporate Member Logos and Third-Party Services

7.1 Directories and Corporate Member Logos

We may operate directories, profiles, or listings of members, partners, suppliers, or other third parties, including corporate member directories that display corporate names, profiles, and logos (together, "Directory"). Content in the Directory may be provided or maintained by the listed organisations or by members themselves.

The Directory is provided for general information and networking purposes only. Inclusion of any organisation in the Directory indicates membership with WA AI Hub but does not create any partnership, joint venture, or agency relationship between WA AI Hub and that organisation.

7.2 No Endorsement or Recommendation

The display of any corporate member name, profile, logo, trade mark, or link to an external website does not constitute an endorsement, recommendation, or guarantee by WA AI Hub of that member, their products, services, or business practices.

You must conduct your own independent enquiries and due diligence before engaging with any listed organisation or relying on any information contained in the Directory.

7.3 Intellectual Property and Trade Marks

All corporate logos, trade names, trade marks, and associated intellectual property displayed in the Directory or elsewhere on our website are the property of their respective owners.

  • WA AI Hub displays member logos solely to identify our corporate members and their involvement with WA AI Hub.
  • Nothing in these Terms or on our website grants any visitor or third party a licence or right to use any logo, trade mark, or other brand element displayed on the website without the explicit written permission of the relevant trade mark owner.
  • You must not use, reproduce, or otherwise deal with any third-party logos or trade marks shown on our website without the owner's permission.

Separate Corporate Membership Agreements may include explicit provisions under which a corporate member warrants that it owns, or is properly licensed to use and supply, the logo and related branding it provides to us, and indemnifies WA AI Hub against any third-party intellectual property infringement claims arising from our display or use of that logo in accordance with the agreement.

7.4 Accuracy of Third-Party Information

Information about our corporate members and other listed organisations is generally supplied or updated by those organisations. While we endeavour to keep the Directory current, we make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability, or availability of any information, products, or services described in Directory listings or linked external websites. Any reliance you place on such information is at your own risk.

7.5 Hyperlinked Directory Disclaimer

On or near the Directory pages, we may include a short notice such as: "By using this directory, you agree to our Member Directory Disclaimer," with a hyperlink to the relevant section of these Terms or to a more detailed Directory-specific disclaimer that is incorporated by reference into these Terms.

By continuing to access or use the Directory after such a notice is presented, you agree to the Directory-specific disclaimer.

7.6 Third-Party Websites and Tools

Our Services may contain links to, or integrations with, third-party websites, tools, or services (for example, event platforms, video-conferencing tools, or learning management systems). These third-party services are not controlled by us.

  • We are not responsible for the content, security, or privacy practices of any third-party site or service.
  • Your use of third-party sites and services is at your own risk and is subject to their own terms and privacy policies, not these Terms.

8. User Obligations and Acceptable Use

8.1 Account Security

You must keep your account credentials secure and confidential. You must not share your credentials with unauthorised persons and must promptly notify us if you suspect unauthorised access to your account.

Members who raise governance, ethical, or compliance concerns in good faith through appropriate internal channels shall not be subject to retaliation, termination, or adverse action under these Terms solely on the basis of that disclosure.

You are responsible for maintaining the security and confidentiality of your account credentials. Should you suspect unauthorised access, you must notify us promptly.

8.2 Prohibited Uses

The following conduct is prohibited when using our Services:

  • Any unlawful, fraudulent, or rights-infringing activity, including infringement of intellectual property or privacy rights;
  • Introducing or attempting to introduce malicious code, viruses, or malware;
  • Interfering with or disrupting the operation or security of our systems and networks;
  • Scraping, harvesting, or programmatically accessing content or data without our prior written consent;
  • Sending unsolicited communications or spam

WA AI Hub reserves the right to monitor use of the Services for security, compliance, and service improvement purposes.

9. Intellectual Property

9.1 Our Content

All content and materials made available through the Services, including text, graphics, logos, images, videos, training materials, software, and other content, are owned by or licensed to WA AI Hub and are protected by intellectual property laws.

Except as permitted by law or as expressly authorised by us, you must not copy, reproduce, modify, distribute, or create derivative works of any part of our content.

9.2 Licence to Use the Services

We grant you a limited, non-exclusive, non-transferable licence to access and use the Services for your personal or internal business purposes in accordance with these Terms.

This licence does not permit you to:

  • Resell or commercially exploit the Services or content
  • Share member-only content outside your Organisation (unless expressly allowed in writing)
  • Remove or alter any copyright, trade mark, or other proprietary notices

9.3 Your Content

You retain ownership of any content you submit or upload to the Services. By submitting content, you grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce, display, and distribute that content as reasonably necessary to operate, promote, and improve the Services.

You warrant that you have all necessary rights in the content you provide and that it does not infringe any third-party rights or breach any law.

10. Service Changes, Availability and Disclaimers

10.1 Changes to Services

We may modify, suspend, or discontinue any part of the Services (including specific programs, membership benefits, or digital features) at any time. Where changes materially reduce core membership benefits during a paid term, we will endeavour to provide appropriate alternatives or remedies consistent with the Australian Consumer Law.

10.2 Availability

While we aim to provide reliable and continuous access to the Services, we do not guarantee that the Services will be available at all times or that access will be uninterrupted, secure, or error-free. Planned maintenance, upgrades, or unexpected outages may affect availability.

10.3 General Disclaimers

To the extent permitted by law, the Services are provided on an "as is" and "as available" basis and we exclude all warranties, guarantees, and representations (express or implied) that are not expressly set out in these Terms.

Without limiting the above, we do not warrant that the Services will meet your specific requirements or that any content (including Directory content) is accurate, complete, or up to date.

11. Limitation of Liability and Indemnity

11.1 Australian Consumer Law

Nothing in these Terms is intended to exclude, restrict, or modify any rights or remedies you may have under the Australian Consumer Law or other laws that cannot be excluded, restricted, or modified by agreement.

11.2 Limitation of Liability

To the maximum extent permitted by law:

  • Our total aggregate liability for all claims arising out of or in connection with the Services or these Terms in any 12-month period is limited to the total membership fees you paid to us in that period; and
  • We are not liable for any indirect, incidental, special, consequential, or punitive loss or damage, or any loss of profits, revenue, data, or business opportunities.

11.3 Indemnity

You agree to indemnify and hold harmless WA AI Hub and our officers, employees, and agents from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your breach of these Terms or any applicable policy; or
  • Your misuse of the Services or infringement of any third-party rights.

12. Dispute Resolution and Governing Law

12.1 Governing Law

These Terms are governed by the laws of Western Australia and the Commonwealth of Australia. You agree to submit to the exclusive jurisdiction of the courts of Western Australia.

12.2 Dispute Resolution Process

If a dispute arises, you agree to attempt resolution through good faith negotiation before pursuing any formal legal action. If negotiation fails, either party may refer the matter to mediation or arbitration as agreed upon by both parties.
